Prolerus Education Limited ("Prolerus", "we", "us", or "our") provides an online learning platform accessible at prolerus.com.
By using the Prolerus website or platform, you become a "user" and agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our website or platform.
1.1 You must create an account using your own personal details, and not those of any other individual.
1.2 You must not share your login credentials with any other person. You are responsible for all activity that occurs within your account.
1.3 If you breach any of these Terms of Service, Prolerus reserves the right to suspend or terminate your account.
1.4 If you believe your account has been accessed by an unauthorised third party, you must immediately notify Prolerus at support@prolerus.com. Prolerus will not be responsible for any damages arising from your own acts or omissions in relation to your account security.
2.1 By using Prolerus, you understand that you are solely responsible for the actions you take on the platform, and you agree to use it at your own risk.
2.2 You must behave in an appropriate and respectful manner at all times when using Prolerus.
2.3 You agree not to use Prolerus in any way that violates applicable laws, rules, or regulations, or that could harm any other person.
2.4 You agree not to attempt to test, probe, or attack the network or systems of Prolerus, nor to take any action that may harm or disrupt the website, company, or any other person (including through the use of viruses or other destructive code).
2.5 When submitting, sending, or uploading content on the Prolerus platform, you agree to do so in a responsible manner that complies with all applicable laws, rules, and regulations.
2.6 You agree not to submit, upload, or input any content that:
Prolerus reserves the right, though is under no obligation, to monitor all data added or generated on the platform, including student work, reports, and AI interactions.
2.7 Where you upload a curriculum document or other institutional material to the platform for the purpose of topic extraction or student assessment, you warrant that:
2.8 Uploaded documents may be stored on our systems depending on the specific features you use. Where documents are stored, they are subject to the data retention and security practices set out in our Privacy Policy.
2.9 You acknowledge that even where a document is used for educational purposes, uploading it to a commercial third-party platform for AI processing may not fall within the fair dealing exceptions under the Copyright Act 1994 (New Zealand), and that you are solely responsible for ensuring your upload is lawful.
3.1 Prolerus uses third-party AI models on our platform. Upon request, we can provide the names of the AI providers we use so that you may review their respective terms and privacy policies.
3.2 Although we take measures to provide an AI tool with appropriate guardrails and tailored specifications, Prolerus is not liable or responsible for any outputs generated by these automated systems.
3.3 AI outputs may not always be accurate and can contain errors. Users must not rely solely on AI-generated content.
3.4 We have contracts with third-party providers to ensure that user data is not used to train AI models.
3.5 Prolerus does not guarantee the accuracy, correctness, or uptime of any AI models used on the platform.
4.1 Prolerus owns all intellectual property rights in and to the Prolerus platform, including its software, design, text, and all other content created by us. All rights are reserved.
4.2 You retain ownership of any content you submit or upload to the platform. By submitting content, you grant Prolerus a limited, non-exclusive licence to store and process that content solely to provide the services described in these terms.
5.1 Where documents are uploaded to the Prolerus platform for curriculum topic extraction, they are processed solely for that purpose. Prolerus does not use the content of uploaded documents for any purpose beyond delivering the services you have requested.
5.2 If you are a copyright owner and believe that content uploaded to the Prolerus platform infringes your copyright, you may submit a written notice to our designated copyright contact:

5.3 A valid infringement notice must include:
5.4 Upon receipt of a valid notice, Prolerus will act expeditiously to investigate and, where appropriate, take action in respect of the identified content.
5.5 In accordance with sections 92B–92D of the Copyright Act 1994 (New Zealand), Prolerus has a policy of terminating, in appropriate circumstances, the accounts of users who are repeatedly found to have infringed the copyright of others. A user who receives multiple valid infringement notices may have their account suspended or permanently terminated at Prolerus's discretion.
6.1 You agree to indemnify, defend, and hold harmless Prolerus Education Limited, its directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
6.2 Prolerus reserves the right to assume exclusive control of the defence of any matter subject to indemnification by you, at your expense. You must not settle any such matter without Prolerus's prior written consent.
7.1 Prolerus works to maintain a fully functional platform; however, access may be disrupted due to unforeseen events including, but not limited to, technical issues and scheduled maintenance.
7.2 Prolerus does not guarantee that the platform will be error-free or uninterrupted at all times.
7.3 Your sole remedy for dissatisfaction with the Prolerus platform is to stop using it. To the fullest extent permitted by applicable law, the aggregate liability of Prolerus to any individual for any claims relating to the platform shall be limited to the lower of: (a) NZD $60 (sixty New Zealand Dollars); or (b) the annual subscription fee paid by your account.
These Terms of Service are governed by the laws of New Zealand. By using the platform, you agree to submit to the exclusive jurisdiction of the New Zealand courts for any proceedings relating to these terms. To the fullest extent permitted by law, we will not be liable for any failure of our platform to comply with the laws of any other country.
If any provision of these Terms of Service is found to be unlawful, void, or unenforceable, that provision shall be severed from the remaining terms, which will continue in full force and effect.
Prolerus may update these Terms of Service at any time at our sole discretion. We reserve the right to make changes without your notification. Major changes will be notified to users at least 7 days in advance via email to the school or individual user, where applicable. Continued use of the platform after the effective date of any changes constitutes your acceptance of the updated terms. If you do not agree to the changes, you must stop using the platform.
Prolerus takes significant measures to protect the security of user data. However, we are not liable for losses of data resulting from third-party attacks on our servers or systems that are outside our reasonable control.
